  1. 1. Introduction

  2. Welcome to ByChat ("we," "us," or "our") ByChat is a SaaS platform provided by Matoffo OÜ (Registry Code: 16517194) that utilizes artificial intelligence to provide web-based AI agents and customer support automation.

  3. By accessing or using our website and services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Service.

  4. IMPORTANT NOTICE REGARDING MERCHANT OF RECORD: Our order process is conducted by our online reseller Paddle. Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By purchasing a subscription, you enter into a contractual relationship with Paddle regarding the payment and delivery of the license key or access credentials, subject to Paddle’s(Checkout Buyer Terms | Paddle). Your use of the software and AI services remains subject to these Terms with Matoffo OÜ.

  5. 2. Account Registration
  6. To use the Service, you must register for an account. You agree to:
    • 2.1. Provide accurate, current, and complete information.
    • 2.2. Maintain the security of your password and accept all risks of unauthorized access to your account.
    • 2.3. Notify us immediately if you discover any security breach.
  7. 3. AI Services and Disclaimer
  8. The Service utilizes artificial intelligence and machine learning technologies ("AI Agents") to generate content, or responses ("Output") based on your inputs ("Input").
    • 3.1. Nature of AI. You acknowledge that AI systems are probabilistic and evolving. The Service may generate Output that is inaccurate, offensive, repetitive, or incoherent ("Hallucinations").
    • 3.2. No Warranty of Accuracy We do not warrant that the Output will be accurate, complete, or reliable. You are solely responsible for verifying the Output before relying on it or using it in any context.
    • 3.3. No Professional Advice. The Service is not a substitute for professional advice (legal, medical, financial, etc.). You must independently evaluate the suitability of the Output for your use case.
    • 3.4. Limitation of Liability for AI Errors. Matoffo OÜ shall not be liable for any damages arising from your reliance on the Output, including but not limited to business interruptions, loss of data, or legal liability incurred by your use of generated content.
  9. 4. Intellectual Property Rights
    • 4.1. Your Inputs. You retain all rights, title, and interest in the Input you provide to the Service. You grant us a worldwide, non-exclusive license to process, host, and use your Input solely for the purpose of providing the Service to you.
    • 4.2. AI Outputs. Subject to your compliance with these Terms, we assign to you all our right, title, and interest in and to the Output. You are free to use the Output for commercial purposes.
    • 4.3. Similarity of Output. Due to the nature of AI, the Service may generate the same or similar Output for other users. You agree that your rights in the Output do not extend to such identical matches generated for third parties.
    • 4.4. Training Data. We do not use your Input or Output to improve the performance of The Service. Your data remains isolated.
  11. 5. Payments, Subscriptions, and Taxes
    • 5.1. Billing via Paddle. All billing is handled by Paddle. By subscribing, you authorize Paddle to charge your payment method for the applicable fees.
    • 5.2. Taxes. Paddle is responsible for collecting and remitting applicable sales tax, VAT, or GST based on your location. The total price shown at checkout includes these applicable taxes.
    • 5.3. Refunds. Refunds are processed in accordance with our Refund Policy and Paddle’s refund guidelines. Please refer to the Refund Policy section below.
  13. 6. Acceptable Use Policy (AUP)
  14. You agree not to use the Service to:
    • 6.1. Generate content that is illegal, defamatory, pornographic, or promotes violence/hatred.
    • 6.2. Impersonate any person without their consent.
    • 6.3. Violate the intellectual property rights of others.
    • 6.4. Reverse engineer, decompile, or attempt to extract the source code or model weights of the AI Agent.
    • 6.5. Use the Service to build a competing product or service.
  15. Compliance with Paddle AUP: You acknowledge that our reseller, Paddle, maintains a strict Acceptable Use Policy. Any violation of our AUP that also violates Paddle’s policies may result in the immediate termination of your account and payment processing capabilities without refund.
  16. 7. Termination
  17. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.
  18. 8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATOFFO OÜ AND ITS SUPPLIERS (INCLUDING PADDLE) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY AI-GENERATED OUTPUT; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
  20. 9. Governing Law
  21. These Terms shall be governed by the laws of Estonia, without regard to its conflict of law provisions. Any disputes relating to the Service itself shall be resolved in the courts of Tallinn, Estonia. Disputes related to payments and billing may be subject to the jurisdiction specified in Paddle’s Buyer Terms (typically United Kingdom or USA depending on buyer location).
